The Independent System & Market Operator (ISMO) is playing a pivotal role in ensuring the reliable, secure, and efficient operation of Pakistan's power system and electricity market. ISMO invites applications from dynamic, qualified, and experienced professionals for the position of Company Secretary on a contract basis.
Functions & Responsibilities
- Ensure compliance with the Companies Act, 2017, SECP regulations, and all applicable corporate laws and governance frameworks.
- Act as Secretary to the Board of Directors and its Committees, ensuring effective conduct of meetings including preparation of agendas, working papers, minutes, and follow-up on decisions.
- Maintain statutory books, registers, and corporate records, and ensure timely filing of statutory returns with SECP and other regulatory authorities.
- Advise the Board and management on corporate governance, regulatory compliance, and procedural/legal matters.
- Ensure implementation of Public Sector Companies (Corporate Governance) Rules, 2013 (as amended) and other applicable governance codes.
- Facilitate coordination between the Board, management, shareholders, and regulators.
- Ensure compliance with listing requirements (if applicable), Board resolutions, and statutory disclosures.
- Perform any other duties assigned by the Board of Directors and/or Chief Executive Officer.
Eligibility Criteria
The candidate must:
- be a member of a recognized body of professional accountants; or
- be a member of a recognized body of corporate or chartered secretaries; or
- be a person holding a master's degree in business or finance or commerce or law from a university recognized by the Higher Education Commission.
- have minimum 20 years of post-qualification relevant experience, including at least 5 years in senior management or executive-level roles, with demonstrated expertise in corporate governance, regulatory compliance, Board affairs, and company secretarial functions in reputable public and/or private sector organizations.
- meet Fit & Proper criteria as defined under Schedule-IV of the State-Owned Enterprises (Governance and Operations) Act, 2023.
